These Terms govern your use of the TelcoEdge website and, where applicable, our BSS/OSS platform and API services. By accessing our website or using our services, you agree to these Terms. Client-specific platform agreements are governed by separately executed Master Service Agreements and Orders. Please read these Terms carefully before using any TelcoEdge service. If you do not agree to these Terms, you must not use our website or services. Use of the TelcoEdge platform as a client is governed by a separate Master Service Agreement (MSA) and applicable Order Form. In the event of conflict between these Terms and an executed MSA, the MSA takes precedence.
In these Terms, the following definitions apply: • “TelcoEdge”, “we”, “our”, “us” — TelcoEdge Inc. and its affiliated entities • “Platform” — the TelcoEdge cloud-native BSS/OSS software and API services, including all modules, interfaces, and updates • “Client” — a business or organisation that has entered into a Master Service Agreement with TelcoEdge to access and use the Platform • “User” — any individual who accesses the TelcoEdge website or Platform, including employees and contractors of a Client • “Website” — telcoedge.com and any TelcoEdge subdomain • “Services” — the Platform, implementation services, support, and any other services provided by TelcoEdge as described in an applicable Order Form • “Order Form” — a written agreement specifying the specific Services, pricing, and term applicable to a Client engagement • “Subscriber Data” — data about a Client’s end-customers that is uploaded to or processed through the Platform by or on behalf of the Client
By accessing the Website, requesting a demo, or using any TelcoEdge service, you confirm that: • You are at least 18 years of age • You have the authority to bind yourself or, where applicable, the organisation you represent • You have read, understood, and agree to be bound by these Terms and our Privacy Policy
3.1 Permitted use You may access and use the TelcoEdge website for lawful purposes related to evaluating, purchasing, or using TelcoEdge’s services. You may not: • Use the website in any way that violates applicable local, national, or international law or regulation • Transmit any unsolicited or unauthorised advertising or promotional material • Reproduce, duplicate, copy, sell, or otherwise exploit any portion of the website without TelcoEdge’s express written consent • Attempt to gain unauthorised access to any part of the website, its servers, or any database connected to it • Introduce viruses, trojans, worms, or other malicious or technologically harmful material • Engage in scraping, crawling, or automated data extraction from the website without permission 3.2 Website availability TelcoEdge does not guarantee that the website will be available at all times or that content will be free from errors. We reserve the right to suspend or withdraw access to any part of the website at any time without notice.
4.1 Client agreements Access to and use of the TelcoEdge Platform is governed exclusively by a fully executed Master Service Agreement and Order Form between TelcoEdge and the Client. These Terms apply to website visitors and do not supersede or replace any executed Client agreement. 4.2 Platform access Clients access the Platform via secure credentials. Each User is responsible for maintaining the confidentiality of their credentials and for all activities conducted under their account. Clients must promptly notify TelcoEdge of any actual or suspected unauthorised access to their account. 4.3 Acceptable use Clients and their Users must use the Platform in accordance with the executed Service Agreement and all applicable laws. Prohibited uses of the Platform include, without limitation: • Processing data that infringes the intellectual property rights of any third party • Using the Platform to transmit fraudulent, misleading, or unlawful communications • Attempting to probe, scan, or test the vulnerability of the Platform or circumvent security controls • Reverse engineering, decompiling, or disassembling any part of the Platform • Reselling access to the Platform to third parties except as expressly permitted in the applicable Service Agreement • Using the Platform in a manner that creates excessive or unreasonable load on TelcoEdge’s infrastructure 4.4 API usage Access to TelcoEdge’s APIs is subject to the rate limits, authentication requirements, and usage policies described in the TelcoEdge API documentation and the applicable Service Agreement. TelcoEdge reserves the right to throttle or suspend API access where usage exceeds agreed limits or creates risk to platform stability.
5.1 TelcoEdge intellectual property All intellectual property rights in the TelcoEdge Platform, website, documentation, branding, and all related materials (including software, source code, algorithms, visual design, and trade names) are owned by or licensed to TelcoEdge. Nothing in these Terms or any Service Agreement transfers ownership of TelcoEdge intellectual property to any Client or User. 5.2 Client data and content Clients retain all ownership and intellectual property rights in their own data, configurations, and content uploaded to or created within the Platform, including Subscriber Data. By providing data to the Platform, Clients grant TelcoEdge a limited, non-exclusive, non-transferable licence to use that data solely for the purpose of providing the Services as described in the applicable Service Agreement. 5.3 Feedback If you provide TelcoEdge with feedback, suggestions, or ideas regarding our Services, you grant TelcoEdge a perpetual, irrevocable, royalty-free licence to use and incorporate such feedback without obligation to you.
Each party agrees to keep confidential all non-public information received from the other party that is designated as confidential or would reasonably be understood to be confidential, and to use such information only for the purpose of performing obligations or exercising rights under the applicable Service Agreement. This obligation does not apply to information that: • Is or becomes publicly known other than through a breach of confidentiality • Was already known before disclosure • Is independently developed without use of confidential information • Is required to be disclosed by law or regulatory authority
TelcoEdge processes Subscriber Data uploaded to the Platform exclusively on behalf of and under the instruction of the Client, as a data processor. The Client is the data controller in respect of Subscriber Data and is responsible for ensuring that all use of the Platform complies with applicable data protection laws, including obtaining any necessary consents from end-customers. Data processing obligations are governed by TelcoEdge’s Data Processing Agreement (DPA), which forms part of the executed Service Agreement with each Client. TelcoEdge’s handling of personal data in connection with the website and its own operations is described in the Privacy Policy.
8.1 Website disclaimer The TelcoEdge website is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied. To the fullest extent permitted by law, TelcoEdge disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. 8.2 Platform warranty Platform warranties applicable to paying Clients are set out in the applicable Service Agreement and are not governed by these Terms. 8.3 Limitation of liability To the fullest extent permitted by applicable law, TelcoEdge shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption, arising from or related to your use of the website or, except as provided in an applicable Service Agreement, the Platform. TelcoEdge’s total liability to website visitors for any claim arising from use of the website shall not exceed £100 (one hundred pounds sterling) or equivalent.
You agree to indemnify, defend, and hold harmless TelcoEdge, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including legal fees, arising from your violation of these Terms or applicable law, or your use of the website in a manner not authorised by these Terms.
The TelcoEdge website may contain links to third-party websites or references to third-party products. These are provided for information only. TelcoEdge does not endorse, control, or assume responsibility for the content, privacy practices, or services of any third-party site. Access to third-party sites is at your own risk.
TelcoEdge reserves the right to suspend or terminate your access to the website at any time, without notice and for any reason, including breach of these Terms. Provisions of these Terms that by their nature should survive termination will remain in effect.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute arising from these Terms that is not resolved by negotiation shall be subject to the exclusive jurisdiction of the courts of Delaware, except where mandatory local law provides otherwise. For Clients with executed Service Agreements, dispute resolution provisions in those agreements take precedence.
TelcoEdge may update these Terms from time to time. We will post the updated version on this page with a revised effective date. For material changes, we will provide reasonable advance notice via the website or, for active Clients, by email. Continued use of the website after changes are effective constitutes your acceptance of the revised Terms.
These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and TelcoEdge regarding use of the website. For Clients, the applicable Master Service Agreement and Order Form govern use of the Platform and take precedence over these Terms in the event of conflict. Questions about these Terms?
